Board Minutes to Change the Annual Accounts Date and Annual Return Date

On incorporation, each company is allocated an annual return date (ARD). This date is usually a date which falls six months after the date of incorporation of the company. On each annual return date, a company is required to file an annual return form (Companies Office Form B1) in the Companies Registration Office and, if required, a set of financial statements.

Each company is required to file an annual return with the Companies Registration Office no later than nine months following its financial year end. However, as the ARD is allocated based on a company’s date of incorporation it often happens that the ARD falls very quickly after the company’s financial year end. This can cause timing difficulties as companies need to prepare their financial statements, have them audited (if required), have them approved by the board and present them to their shareholders before filing them with their annual return. To alleviate these difficulties, many companies change their ARDs so that they can avail of the full nine month period between its financial year end and its ARD.

There are two ways that a company can amend its annual return date. It can either extend the date to a later date or bring it forward to an earlier date. You can either:

(i) Extend an Annual Return Date; or

(ii) Bring forward an Annual Return Date
