This is a director’s service agreement for a company director or executive (the “executive employee”). The executive employee will be required to work such hours as may be necessary to fulfil his role as a director/executive.

This director’s service agreement details matters such as:

• the duration of the probationary period (which can be extended, reduced or removed as necessary);

• the executive employee’s job title and the scope of the executive employee’s duties; as well as the rules and regulations which the executive employee must comply with;

• the executive employee’s working hours – which will be a set number of hours plus such additional hours as may be necessary in order for the executive to fulfil his duties;

• the place where the executive employee is required to work and whether the executive may be required to travel from time to time; both inside and outside of Ireland;

• the remuneration payable to the executive employee and the manner and frequency in which it’s paid; and whether the executive employee is entitled to (i) a company car or a travel allowance in lieu thereof, (ii) a company laptop or (iii) a company phone or (iv) a bonus;

• the benefit and insurance cover offered to the executive employee (if any) including pension, health insurance, critical illness protection, life insurance, health insurance, car allowance, share options and others;

• the executive employee’s entitlement to holidays;

• the procedures that apply in relation to sickness and notification of absence from work; including whether the executive employee is entitled to receive payment when absent;

• the procedures relating to the change in benefits and the termination of benefits;

• the confidentiality provisions that are imposed on the executive employee throughout the duration of his or her employment;

• the disciplinary and grievance procedures;

• the manner in which the agreement can be terminated;

• the restrictive covenants that apply post termination of the employment;

• who owns intellectual property rights developed by the executive employee;

• the requirement to resign directorships and return property on termination of the contract; and

• other relevant matters.

The director’s service agreement also includes standard boiler plate clauses such as in relation to confidentiality, severance, notice requirements, governing laws, etc.
