This logo transfer agreement provides for the transfer of a logo or design from one person to another. It also obliges the person transferring the logo to provide all reasonable assistance that the transferee might require in order to effect the transfer of the logo.

The deed includes standard warranties from the owner of the logo in relation to its title to the logo and its ability to transfer the logo to the proposed transferee. It also contains standard confidentiality provisions to ensure that the terms relating to the transfer of the logo are kept confidential.

Overview

A logo is a graphic mark or emblem commonly used by individuals and companies to aid and promote the recognition of their businesses. Typically, logos are either purely graphic (symbols/icons) or are composed of the name of the organisation and form an integral part of a business’s brand image. For example, DocuDraf’s logo is made up of the word “DocuDraft” which is written in a specific style and a specific colour. In some of our physical publications, such as books and software, we also include a different logo. If we were planning on selling these logos, we would need to sell both – otherwise the potential buyer would not be able to obtain the full intellectual property value in our brand images. Similarly, if we had outsourced the design of these two logos to a third party, we would want to ensure that that party assigned full intellectual property rights in these logos to us upon completion. Otherwise, they could simply use the same or similar logo for another client and we would have limited recourse against the designer.

It is therefore important when starting a new business or creating a brand image on a website that you get suitable deeds of assignment of intellectual property rights from the designers of the logos, websites, stationary, etc.

In order to transfer the intellectual property rights in a logo, the parties will need to enter into a logo transfer agreement (or deed of assignment of logo rights).
