This agreement provides for the provision of specialised retail support services to the recipient in all key areas of the operation of a particular retail business including but not limited to retail operations, warehousing and distribution, marketing and public relations, real estate acquisition and management, store design and fit out supervision, human resources, training, accounting and administration.

The services to be provided can be fully customised as can the terms upon which those services are to be provided.

Overview

This agreement provides for the appointment of a service provider to provide business start-up assistance to a client. The most important aspects of this agreement, apart from the actual appointment of the service provider, will be the description of the services to be provided and of course the fees payable in return.

In this services agreement, you will need to specify details of the type of business to be established. It will be by reference to this type of business that the related business services will be provided. For example, if you wish to establish a book publishing company, the reference in the agreement to distribution services, marketing, etc, will all be linked in to that which is suitable and applicable to a book publisher. The agreement also leaves scope for the parties to agree to the addition of new services from time to time.

The service provider will be obliged to perform the agreed services in a good and efficient manner, using the reasonable skill and care usually employed by persons providing similar services.

The services agreement also sets out the manner in which the service fees will be payable to the service provider. If the service provider fails to perform any of the agreed services, the recipient shall be entitled to withhold payment of the service fees until such time as the services are provided. Conversely, if the recipient is late in paying the service provider, the service provider shall be entitled to charge interest on the outstanding fees.

The service provider will also be entitled to be reimbursed for all expenses incurred by it in the performance of the services. This clause can, however, be deleted or modified if desirable.

Either party will be entitled to terminate the services agreement at any time upon the giving of specific notice.

The services agreement also includes standard boiler plate clauses such as in relation to confidentiality, non-compete, notice requirements, governing laws, etc.
