A confirmation statement is the company’s periodic confirmation that specified information held by Companies House is correct. It is separate from filing annual accounts. A small or dormant company should not assume that inactivity removes its filing obligations.
Start with the company’s actual deadline
Check the company record for the confirmation statement date and filing deadline. Companies must file at least once every 12 months, with up to 14 days after the review period ends to deliver the statement. Filing early changes the review period, so record the new dates rather than relying on last year’s calendar reminder.
Reconcile records before filing
Compare Companies House information with the company’s own records. Check registered details, officers, people with significant control, share capital, shareholder information and the business activity codes where relevant. Identify changes that need their own filing rather than assuming the confirmation statement can update everything.
A useful working file contains the register of members, a list of share transactions since the previous review and a note of changes already reported. Resolve discrepancies before submitting. The confirmation statement should reflect the company’s records, not become a substitute for maintaining them.
Prepare identity and access information
Check the current Companies House identity-verification requirements for each director and person with significant control. Personal codes and the company authentication code serve different purposes. The applicable role and deadline matter; do not assume that completing one step for one role satisfies every requirement.
Keep authentication information secure and share it only through the appropriate filing process. Nominate who prepares the statement, who checks it and who submits it, particularly where an accountant or company-secretarial provider is involved.
Use the current filing service
Follow Companies House’s current instructions for the required declarations, registered email details and filing fee. Save the submission receipt and check acceptance. Add the next deadline to the company’s compliance calendar and keep the supporting review note.
For example, a share transfer during the year may mean several records or filings need attention. Recording it only when preparing the confirmation statement can leave the company’s own records out of date in the meantime.
Read our company records checklist alongside this guide. A board pack can record a decision, but it does not itself make a Companies House filing.
