Share Transfer

A share transfer involves more than completing a form. Before transferring shares in a private company registered in England and Wales, check the rights attached to the shares, the company’s articles and any shareholder agreement. Restrictions, pre-emption rights or consents may affect whether the proposed transfer can proceed.

Confirm the transaction details

Identify the company, transferor, transferee, share class, number of shares and consideration. Reconcile these with the register of members and existing certificates. If the transfer forms part of an acquisition, gift or group restructuring, ensure the paperwork matches the wider arrangements.

Use the appropriate stock transfer form and execution process for the shares concerned. Do not assume that a form suitable for fully paid ordinary shares covers every class or circumstance.

Check the UK Stamp Duty position

HMRC’s guidance explains when Stamp Duty is payable, the certificates available on a stock transfer form and when a form must be submitted. A consideration figure of £1,000 or less is not a universal exemption: the conditions, including connected transactions, matter.

Where duty is payable, payment and submission generally need to reach HMRC within 30 days of signing and dating the form. Physical stamping has been withdrawn; follow HMRC’s current submission and confirmation process. A claim for relief may require submission even though no duty is payable. Obtain advice for non-cash consideration, connected-party transactions or relief claims.

Arrange registration with the company

Deliver the required transfer documents and supporting evidence to the company. The actual articles determine the directors’ powers and relevant procedure; registration should not be presented as an automatic approval in every case. Resolve missing certificates or inconsistent ownership information before treating the file as complete.

Once the transfer is properly registered, update the register of members and arrange appropriate replacement certificates and records. Check whether separate Companies House updates, including changes concerning people with significant control, are required.

Keep a complete transfer file

Retain the signed form, any HMRC confirmation or exemption basis, relevant approvals and evidence of updated records. A share certificate is part of the evidence; it is not a substitute for the register of members.

Read how to deal with a lost certificate if the original cannot be located. For an acquisition, coordinate the transfer with the solicitor managing completion rather than treating it as an isolated administrative task.
